Legal Counsel (f/m/d)

Stableton, a fast‑growing fintech that uses technology and data to give institutional investors access to top‑tier private tech companies, is looking for a Legal Counsel to join its investment and operations teams. Reporting to the CFO, the lawyer will work across the firm’s multi‑jurisdictional platform in the United States, Switzerland, Luxembourg and Germany, supporting the core business that builds unicorn‑index funds and thematic mandates. The day‑to‑day work revolves around deal work: drafting, reviewing and negotiating transaction paperwork for U.S. growth‑equity, pre‑IPO and private‑fund investments, such as subscription agreements, side letters, LPAs and term sheets. The counsel will provide the investment team with immediate, practical legal advice, flag risks early and suggest workable solutions. In addition, the role includes overseeing corporate governance for the international group, handling shareholder matters, financing rounds, stock‑option plans and coordinating with external counsel when specialist input is needed. Building and refining playbooks, templates and AI‑enhanced review workflows also form part of the responsibilities. Candidates must be qualified lawyers with substantial post‑qualification experience, preferably admitted to a U.S. bar (any state). A solid grasp of U.S. securities law and private‑market regulation is required, and familiarity with SEC‑registered adviser duties is a plus. The ideal applicant works quickly on live transactions, can act independently, and translates complex risk into clear guidance. Excellent English communication skills and the legal right to work in the chosen base location (U.S., Switzerland, Germany, Luxembourg or the UK) are mandatory. Desirable attributes include knowledge of EU or Swiss investment‑product regulations, experience with cross‑border corporate structures, and German language ability. The position offers direct interaction with founders, exposure to a high volume of U.S. tech deals, and the chance to shape legal processes using modern AI tools within an international, performance‑driven team.
