Legal Counsel - Global Transactions & Legal Governance (Hybrid; m/f/x/d; 80-100%)

Swiss Re is looking for a Legal Counsel to join its Global Transactions & Legal Governance unit, where the focus lies on sophisticated reinsurance and alternative‑capital deals that shape the firm’s commercial direction. The position sits at the centre of structuring, negotiating and delivering high‑profile transactions that span insurance‑linked securities, structured reinsurance, retrocession and capital‑management arrangements. In this capacity the lawyer will counsel internal partners on the legal dimensions of each deal, prepare and negotiate contractual documentation throughout the deal lifecycle, and carry out regulatory and due‑diligence reviews. Daily work involves orchestrating cross‑functional groups—including tax, finance, risk and compliance—to ensure smooth execution, contributing to the evolution of transaction frameworks and templates, monitoring legal developments that affect the business, and overseeing external counsel to guarantee quality and cost control. The role also requires briefing senior leaders on progress, risks and outcomes, as well as delivering internal training and presentations on relevant legal topics. Candidates must hold a full bar qualification in the United Kingdom or Switzerland (or an equivalent credential elsewhere) and possess at least five years of post‑qualification experience, preferably within a law firm or an in‑house setting that deals with reinsurance law, structured finance and multi‑jurisdictional regulatory matters. Proven ability to draft, negotiate and communicate complex legal concepts clearly is essential, together with fluency in English; additional language skills are advantageous. Desirable background includes hands‑on work with insurance‑linked securities, collateralised reinsurance structures, legacy portfolio transactions, and experience managing outside counsel or shaping legal policies in a large organisation.
